Eesti Vabariigi valitsus ja Luksemburgi Suurhertsogiriigi valitsus,

soovides sõlmida lepingu tulu- ja kapitalimaksudega topeltmaksustamise vältimiseks ja maksudest hoidumise tõkestamiseks,

on kokku leppinud järgmises.

Artikkel 1. Lepingu subjekt

Leping kehtib selle isiku kohta, kes on ühe või mõlema lepinguosalise riigi resident.

Artikkel 2. Lepingu ese

1. Leping kehtib lepinguosalise riigi või selle kohaliku omavalitsuse üksuse kehtestatud tulu- ja kapitalimaksude kohta, sõltumata nende kogumise viisist.

2. Tulu- ja kapitalimaksuna käsitatakse tulult või varalt või nende osadelt võetavat maksu, sealhulgas vallas- või kinnisvara võõrandamisest saadud kasult ning vara väärtuse kasvult võetavat maksu.

3. Maksud, mille kohta leping eelkõige kehtib, on:
a) Eestis:
tulumaks
(edaspidi Eesti maks);
b) Luksemburgis:
(i) füüsilise isiku tulumaks;
(ii) juriidilise isiku tulumaks;
(iii) varamaks;
(iv) ühiskaubandusmaks
(edaspidi Luksemburgi maks).

4. Lepingut kohaldatakse ka samasele või sama laadi maksule, mis kehtestatakse olemasoleva maksu asemele või sellele lisaks pärast lepingu allakirjutamist. Lepinguosaliste riikide pädevad ametiisikud teevad teineteisele teatavaks asjaomaste maksuseaduste iga tähtsa muudatuse.

Artikkel 3. Põhimõisted

1. Kui kontekst ei nõua teisiti, kasutatakse selles lepingus mõisteid järgmises tähenduses:
a) Eesti tähendab Eesti Vabariiki ja geograafilises mõttes Eesti territooriumi ning Eesti territoriaalvetega külgnevaid alasid, kus Eesti võib Eesti seaduste ja rahvusvahelise õiguse kohaselt teostada oma õigust merepõhja ja maapõue ning seal leiduvate loodusvarade suhtes;
b) Luksemburg tähendab Luksemburgi Suurhertsogiriiki ja geograafilises mõttes Luksemburgi Suurhertsogiriigi territooriumi;
c) Lepinguosaline riik ja teine lepinguosaline riik on kontekstist olenevalt kas Eesti või Luksemburg;
d) isik on füüsiline isik, äriühing või muu isikute ühendus;
e) äriühing on juriidiline isik või muu iseseisev majandusüksus, keda maksustatakse kui juriidilist isikut;
f) lepinguosalise riigi ettevõtja ja teise lepinguosalise riigi ettevõtja on kontekstist olenevalt kas ühe või teise lepinguosalise riigi residendist ettevõtja;
g) rahvusvaheline transport on lepinguosalise riigi ettevõtja mere- või õhutransport, välja arvatud juhul, kui mere- või õhuvedu toimub ainult lepinguosalises riigis;
h) pädev ametiisik on:
(i) Eestis rahandusminister või tema volitatud esindaja;
(ii) Luksemburgis rahandusminister või tema volitatud esindaja;
i) kodanik on
(i) lepinguosalise riigi kodakondsusega füüsiline isik;
(ii) juriidiline isik või muu isikute ühendus, mis on asutatud lepinguosalise riigi seaduste alusel.

2. Kui lepinguosaline riik kasutab lepingut kohaldades selles määratlemata mõistet ja kui kontekstist ei tulene teisiti, lähtub ta lepingus käsitletud maksudega seotud mõistet tõlgendades selle riigi seadustes kasutatud määratlusest, arvestades, et maksuseadustes määratletud mõisted on ülimuslikud teistes seadustes määratletud mõistete suhtes.

Artikkel 4. Resident

1. Selles lepingus tähistab mõiste lepinguosalise riigi resident isikut, kes on selle riigi seaduste alusel maksukohustuslane elu- või asukoha, juhtkonna asukoha, asutamise koha või muu sellise kriteeriumi järgi; mõiste hõlmab ka riiki ja selle kohaliku omavalitsuse üksust. Mõiste ei hõlma isikut, kes on selles riigis maksukohustuslane üksnes seetõttu, et tema tuluallikas või vara asub selles riigis.

2. Kui lõike 1 kohaselt on füüsiline isik mõlema lepinguosalise riigi resident, määratakse tema õiguslik seisund järgmiselt:
a) ta on selle riigi resident, kus tal on kodu; kui tal on kodu mõlemas riigis, siis on ta selle riigi resident, millega tal on tihedamad isiklikud ja majanduslikud sidemed (eluliste huvide keskus);
b) kui eluliste huvide keskust ei ole võimalik kindlaks määrata või kui isikul ei ole kodu kummaski riigis, siis on ta selle riigi resident, kus ta tavaliselt viibib;
c) kui isik viibib tavaliselt mõlemas riigis või kui ta ei viibi tavaliselt kummaski neist, siis on ta selle riigi resident, mille kodanik ta on;
d) kui isik on mõlema lepinguosalise riigi kodanik või kui ta ei ole kummagi lepinguosalise riigi kodanik, lahendatakse küsimus lepinguosaliste riikide pädevate ametiisikute kokkuleppel.

3. Kui isik on lõike 1 kohaselt mõlema lepinguosalise riigi resident, püüavad lepinguosaliste riikide pädevad ametiisikud otsustada tema suhtes lepingu kohaldamise kokkuleppe teel; see ei kehti füüsilise isiku kohta.

Artikkel 5. Püsiv tegevuskoht

1. Selles lepingus tähendab mõiste püsiv tegevuskoht äritegevuse kindlat kohta, mille kaudu täielikult või osaliselt toimub ettevõtja äritegevus.

2. Püsivaks tegevuskohaks peetakse esmajoones:
a) juhtkonna asukohta;
b) filiaali;
c) kontorit;
d) tehast;
e) töökoda;
f) kaevandust, nafta- ja gaasipuurauku, karjääri või muud loodusvarade kaevandamise kohta.

3. Ehitusplatsi, montaaži- ja seadmestamistööde kohta või nende üle teostatavat järelevalvet käsitatakse püsiva tegevuskohana üksnes juhul, kui tegevus selles kohas kestab üle üheksa kuu.

4. Eelmistest lõigetest olenemata ei peeta püsivaks tegevuskohaks ettevõtja äritegevuse kindlat kohta, kus:
a) ettevõtja kasutab ehitist üksnes talle kuuluva kauba ladustamiseks, väljapanekuks või kohaletoimetamiseks;
b) ettevõtja hoiab oma kaubavaru üksnes ladustamiseks, väljapanekuks või kohaletoimetamiseks;
c) ettevõtja hoiab endale kuuluvat ja teisele ettevõtjale üksnes töötlemiseks antavat kaupa;
d) ostetakse üksnes ettevõtjale vajalikku kaupa või kogutakse talle vajalikku teavet;
e) tehakse muid üksnes ettevõtjale vajalikke ettevalmistus- või abitöid;
f) tehakse ettevõtjale vajalikke ettevalmistus- või abitöid mitmel punktides a–e loetletud eesmärgil.

5. Kui isik tegutseb ettevõtja nimel ning on volitatud sõlmima ja tavaliselt sõlmib lepinguosalises riigis ettevõtja nimel lepinguid, siis lõigetest 1 ja 2 olenemata on ettevõtjal selles riigis püsiv tegevuskoht nende toimingute kaudu, mis on teinud tema nimel tegutsev isik; sätet ei kohaldata, kui sellise isiku tegevus piirdub lõikes 4 loetletud eesmärkidel tehtavate toimingutega, mis ei muuda kindla koha kaudu toimuvat tegevust selle lõike tähenduses püsivas tegevuskohas toimuvaks; see lõige ei kehti lõikes 6 nimetatud isikute kohta.

6. Ettevõtjal ei ole teises lepinguosalises riigis püsivat tegevuskohta, kui tema äritegevus selles riigis toimub ainult maakleri, komisjonäri või muu sõltumatu vahendaja kaudu ja selle isiku tegevust võib käsitada tema tavapärase äritegevusena. Kui selline isik tegutseb valdavalt nimetatud ettevõtja huvides, ei ole isik selle lõike tähenduses sõltumatu vahendaja.

7. Kui lepinguosalise riigi residendist äriühing kontrollib teise lepinguosalise riigi residendist äriühingut või kui äriühingu tegevus toimub püsiva tegevuskoha kaudu või muul viisil teises riigis, ei anna see alust käsitada üht äriühingut teise äriühingu püsiva tegevuskohana.

Artikkel 6. Kinnisvaratulu

1. Tulu, sealhulgas põllumajandusest või metsandusest saadud tulu, mida lepinguosalise riigi resident saab teises lepinguosalises riigis asuvast kinnisvarast, võib maksustada selles teises riigis.

2. Mõiste kinnisvara määratletakse vara asukoha riigi seaduste alusel. Mõiste hõlmab kinnisasja päraldist, põllumajanduses ja metsanduses kasutatavat seadet, eluskarja, maaomandit käsitleva seadusega sätestatud õigust, optsiooni või muud kinnisvara omandamise õigust, kinnisvara kasutusvaldust ja õigust saada tasu maavara leiukoha ja loodusvara kasutamise või kasutusõiguse eest; kinnisvarana ei käsitata laeva, paati ega õhusõidukit.

3. Lõige 1 kehtib kinnisvara isiklikust kasutamisest, rendile- või üürileandmisest või muul viisil kasutamisest saadud tulu kohta, samuti kinnisvara võõrandamisest saadud tulu kohta.

4. Lõiked 1 ja 3 kehtivad ka ettevõtluses ning kutsetegevuses kasutatavast kinnisvarast saadud tulu kohta.

Artikkel 7. Ärikasum

1. Lepinguosalise riigi ettevõtja kasum maksustatakse ainult selles riigis. Kui ettevõtja tegutseb püsiva tegevuskoha kaudu ka teises lepinguosalises riigis, võib seal maksustada selle kasumiosa, mida saab omistada püsivale tegevuskohale.

2. Lõikest 1 olenemata võib lepinguosalise riigi ettevõtja, kellel on püsiv tegevuskoht teises lepinguosalises riigis ja kelle äritegevus on sama või sarnane püsivas tegevuskohas toimuva äritegevusega, sellest tegevusest saadud kasumi omistada püsivale tegevuskohale, et vältida lepingu kuritarvitamist; see ei kehti, kui ettevõtja tõendab, et püsiv tegevuskoht ei saanud selliseid toiminguid mõjuvatel põhjustel ise teha.

3. Lõiget 4 arvestades käsitavad lepinguosalised riigid püsivale tegevuskohale omistatava kasumina seda kasumit, mida püsiv tegevuskoht eeldatavasti saaks, tegutsedes iseseisvalt samadel või sama laadi tingimustel samal või sama laadi tegevusalal kui teise lepinguosalise riigi ettevõtja, kelle püsiv tegevuskoht ta on.

4. Lepinguosalises riigis asuvale püsivale tegevuskohale omistatavat kasumit arvestades võib tuludest maha arvata juhtimis- ja halduskulud ning püsiva tegevuskohaga seotud muud kulud, sõltumata sellest, kas need tekkisid püsiva tegevuskoha asukoha riigis või mujal. See ei kehti kulude kohta, mida ei saaks maha arvata, kui püsiv tegevuskoht oleks selle lepinguosalise riigi iseseisev ettevõtja.

5. Kui lepinguosalises riigis on püsivale tegevuskohale omistatavat kasumit arvestades tavaliselt jaotatud ettevõtja kogukasum ettevõtja osade vahel proportsionaalselt, ei ole lõikega 3 vastuolus lepinguosalise riigi õigus kasutada nimetatud meetodit juhul, kui meetodi rakendamise tulemus on kooskõlas selle artikli põhimõtetega.

6. Kasumit ei omistata püsivale tegevuskohale, kui ettevõtja ostab püsiva tegevuskoha kaudu kaupa ainult oma tarbeks.

7. Eelmistes lõigetes käsitletud kasumit arvestades rakendatakse igal aastal sama meetodit, kui ei ole küllaldast põhjust seda muuta.

8. Kui kasum hõlmab lepingu teistes artiklites käsitletud tulu, kohaldatakse sellele teisi asjakohaseid sätteid.

Artikkel 8. Mere- ja õhutransport

1. Lepinguosalise riigi ettevõtja rahvusvahelistest mere- ja õhuvedudest saadud kasum maksustatakse ainult selles riigis.

2. Lõige 1 kehtib ka kasumi kohta, mis on saadud osalusest puulis või muud liiki ühises äritegevuses või rahvusvahelises transpordiorganisatsioonis.

Artikkel 9. Seotud ettevõtjad

1. Kui
a) lepinguosalise riigi ettevõtja otse või kaudselt osaleb teise lepinguosalise riigi ettevõtja juhtimises, kontrollib ettevõtjat või kui tal on osalus ettevõtja osa- või aktsiakapitalis või
b) samad isikud otse või kaudselt osalevad mõlema riigi ettevõtja juhtimises, kontrollivad ettevõtjaid või kui neil on osalus mõlema ettevõtja osa- või aktsiakapitalis

ning kui ettevõtjad järgivad omavahelistes äri- ja rahandussuhetes sõltumatute ettevõtjate vahel kokkulepitust erinevaid tingimusi, mille tõttu jääb ettevõtja kasum eeldatavast väiksemaks, loetakse ettevõtja kasumiks eeldatav kasum ja see maksustatakse asjakohaselt.

2. Kui lepinguosaline riik arvab oma ettevõtja kasumi hulka ja asjakohaselt maksustab tulu, mis on teises lepinguosalises riigis maksustatud selle riigi ettevõtja kasumina ja mille oleks saanud esimesena nimetatud riigi ettevõtja, kui ettevõtjad oleksid omavahelistes suhetes järginud sama laadi tingimusi nagu sõltumatud ettevõtjad, korrigeerib teine riik kasumilt tasutavat maksusummat. Maksusummat korrigeerides arvestatakse lepingu teisi sätteid ja lepinguosaliste riikide pädevad ametiisikud peavad vajaduse korral teineteisega nõu.

Artikkel 10. Dividend

1. Dividendi, mida lepinguosalise riigi residendist äriühing maksab teise lepinguosalise riigi residendile, võib maksustada selles teises riigis.

2. Dividendi võib maksustada ka selles lepinguosalises riigis, mille residendist äriühing dividendi maksab; kui dividendi saaja on teise lepinguosalise riigi resident, ei või dividendilt võetava maksu määr ületada:
a) 5 protsenti dividendi brutosummast, kui dividendi saaja on äriühing (see ei kehti seltsingu kohta), kelle otsene osalus dividendi maksva äriühingu aktsia- või osakapitalis on vähemalt 25 protsenti;
b) 15 protsenti dividendi brutosummast kõigil muudel juhtudel.

Lõiget ei kohaldata äriühingu selle kasumi maksustamisele, millest dividendi makstakse.

3. Selles artiklis käsitatakse dividendina tulu aktsiatest, osadest või muust kasumi saamise õigusest, mis ei ole võlanõue, ning teistest õigustest saadavat tulu, mida käsitatakse dividendina või muu kasumijaotisena seda maksva äriühingu residendiriigi seaduste kohaselt, samuti investori osa äriühingu kasumist, mida makstakse proportsionaalselt tema investeeringule ning täiendav intress või makse võlakirjalt, mis sõltub jaotatavast kasumist ja mida makstakse lisaks kindlaks määratud intressile.

4. Lõikeid 1 ja 2 ei kohaldata, kui lepinguosalise riigi residendist dividendisaaja äri- või kutsetegevus toimub püsiva tegevuskoha või kindla koha kaudu teises lepinguosalises riigis, mille resident dividendi maksev äriühing on, ning ta saab dividendi seoses püsiva tegevuskoha või kindla koha kaudu toimuva äri- või kutsetegevusega. Sel juhul kohaldatakse artiklit 7 või 14.

5. Kui lepinguosalise riigi residendist äriühing saab tulu teisest lepinguosalisest riigist, ei või see teine riik maksustada äriühingu makstavat dividendi ega jaotamata kasumit, kuigi need sisaldavad tulu, mis on tekkinud selles teises riigis; see ei kehti teise lepinguosalise riigi residendile makstava dividendi kohta ega sellelt osaluselt makstava dividendi kohta, mis on seotud selles teises riigis asuva püsiva tegevuskohaga või kindla kohaga.

Artikkel 11. Intress

1. Intressi, mis tekib lepinguosalises riigis ja mida makstakse teise lepinguosalise riigi residendile, võib maksustada selles teises riigis.

2. Nimetatud intressi võib oma seaduste kohaselt maksustada ka see lepinguosaline riik, kus intress tekib; kui intressi saaja on teise lepinguosalise riigi resident, ei või intressilt võetava maksu määr ületada 10 protsenti intressi brutosummast.

3. Lõikest 2 olenemata:
a) ei maksustata lepinguosalises riigis selles riigis tekkivat intressi, mille saaja on teise lepinguosalise riigi valitsus, kohaliku omavalitsuse üksus, keskpank või selle valitsuse ainuomandis olev finantsinstitutsioon vastavalt pädevate ametiisikute kokkuleppele, ega intressi, mida makstakse tulenevalt nimetatud riigi või asutuse tagatud laenult;
b) ei maksustata lepinguosalises riigis selles riigis tekkivat intressi, mille saaja on teise lepinguosalise riigi ettevõtja ja intressi maksab esimese lepinguosalise riigi ettevõtjale teise lepinguosalise riigi ettevõtja kaubandusliku, tööstusliku või teadusalase sisseseade krediitmüügiga tekkinud võlgnevuselt, välja arvatud juhul kui müük või võlgnevus on seotud isikute vahel;
c) on lepinguosalises riigis tekkiv intress selle riigi ettevõtjale teise lepinguosalise riigi panga antud laenult maksustatav selles teises riigis.

4. Selles artiklis käsitatakse intressina tulu, mida saadakse tagatud või tagamata võlanõudest või valitsuse väärtpaberitest või võlakohustustest ja nendega seotud maksetest. Mõiste intress ei hõlma artikli 10 kohaselt dividendina käsitatavat tulu. Hilinenud makse eest võetavat viivist intressina ei käsitata.

5. Lõikeid 1, 2 ja 3 ei kohaldata, kui lepinguosalise riigi residendist intressisaaja äri- või kutsetegevus toimub püsiva tegevuskoha või kindla koha kaudu teises lepinguosalises riigis, kus intress tekib ja kus ta saab intressi püsiva tegevuskoha või kindla koha kaudu toimuva äri- või kutsetegevusega seotud võlanõudelt. Sel juhul kohaldatakse artiklit 7 või 14.

6. Intress on tekkinud lepinguosalises riigis, kui intressi maksab selle riigi resident. Kui võlgnevus, millelt intressi makstakse, on seotud püsivas tegevuskohas või äritegevuse kindlas kohas toimuva tegevusega ning kui intressi maksmise kulu kannab püsiv tegevuskoht või äritegevuse kindel koht, on intress tekkinud püsiva tegevuskoha või äritegevuse kindla koha riigis, olenemata sellest, kas intressi maksja on lepinguosalise riigi resident või mitte.

7. Kui intressi maksja ja intressi saaja või nende mõlema ning muu isiku erisuhte tõttu ületab võlanõude eest makstava intressi summa selle summa, milles oleksid intressi maksja ja intressi saaja kokku leppinud ilma sellise suhteta, kohaldatakse seda artiklit ainult viimati nimetatud summa suhtes. Enammakstud intress maksustatakse kummagi lepinguosalise riigi seaduste kohaselt, arvestades lepingu teisi sätteid.

Artikkel 12. Litsentsitasu

1. Litsentsitasu, mis tekib lepinguosalises riigis ja mida makstakse teise lepinguosalise riigi residendile, võib maksustada selles teises riigis.

2. Nimetatud litsentsitasu võib oma seaduste kohaselt maksustada ka see lepinguosaline riik, kus litsentsitasu tekib; kui litsentsitasu saaja on teise lepinguosalise riigi resident, ei või litsentsitasult võetava maksu määr ületada:
a) 5 protsenti litsentsitasu brutosummast, mida makstakse kaubandusliku, tööstusliku või teadusalase sisseseade kasutamise eest;
b) 10 protsenti litsentsitasu brutosummast kõikidel muudel juhtudel.

3. Selles artiklis käsitatakse litsentsitasuna makset, mida saadakse kino- või telefilmi või raadio- või televisioonisaate salvestise, kirjandus- või kunstiteose või teadustöö autoriõiguse, patendi, kaubamärgi, disaini või mudeli, plaani või salajase valemi või tehnoloogilise protsessi kasutamise või kasutamise õiguse eest või tööstuslike, kaubanduslike või teadusalaste seadmete kasutamise või kasutamise õiguse eest või tööstusliku, kaubandusliku või teadusalase oskusteabe eest.

4. Lõikeid 1 ja 2 ei kohaldata, kui lepinguosalise riigi residendist litsentsitasu saaja äri- või kutsetegevus toimub püsiva tegevuskoha või kindla koha kaudu teises lepinguosalises riigis, kus litsentsitasu tekib ja kus ta saab litsentsitasu püsiva tegevuskoha või kindla koha kaudu toimuvas äri- või kutsetegevuses kasutatavast õigusest või varast. Sel juhul kohaldatakse artiklit 7 või 14.

5. Litsentsitasu on tekkinud lepinguosalises riigis, kui tasu maksja on selle riigi resident. Kui litsentsitasu maksmise kohustus on seotud püsivas tegevuskohas või äritegevuse kindlas kohas toimuva tegevusega ning litsentsitasu maksmise kulu kannab püsiv tegevuskoht või äritegevuse kindel koht, on litsentsitasu tekkinud püsiva tegevuskoha või äritegevuse kindla koha riigis, olenemata sellest, kas litsentsitasu maksja on lepinguosalise riigi resident või mitte.

6. Kui litsentsitasu maksja ja litsentsitasu saaja või nende mõlema ja muu isiku erisuhte tõttu ületab asja kasutamise, kasutamise õiguse või oskusteabe eest makstav litsentsitasu selle summa, milles oleksid litsentsitasu maksja ja litsentsitasu saaja kokku leppinud ilma sellise suhteta, kohaldatakse seda artiklit ainult viimati nimetatud summa suhtes. Enammakstud litsentsitasu maksustatakse kummagi lepinguosalise riigi seaduse kohaselt, arvestades lepingu teisi sätteid.

Artikkel 13. Kasu vara võõrandamisest

1. Kui lepinguosalise riigi resident saab kasu artiklis 6 määratletud ja teises lepinguosalises riigis asuva kinnisvara või sellise äriühingu aktsiate võõrandamisest, kelle vara koosneb põhiliselt teises lepinguosalises riigis asuvast kinnisvarast, võib kasu maksustada selles teises riigis.

2. Kui lepinguosalise riigi resident saab kasu sellise vallasvara võõrandamisest, mida ta kasutab teises lepinguosalises riigis püsiva tegevuskoha äritegevuses või kindlas kohas oma kutsealal tegutsedes, või püsiva tegevuskoha (eraldi või koos ettevõttega) või kindla koha võõrandamisest, võib kasu maksustada selles teises riigis.

3. Kui lepinguosalise riigi ettevõtja saab kasu rahvusvahelises transpordis kasutatava laeva või õhusõiduki või selle juurde kuuluva vallasvara võõrandamisest, maksustatakse kasu ainult selles riigis.

4. Lõigetes 1, 2 ja 3 käsitlemata vara võõrandamisest saadav kasu maksustatakse ainult vara võõrandaja residendiriigis.

Artikkel 14. Kutsetegevus

1. Lepinguosalise riigi residendist füüsilise isiku kutsetegevusest või ettevõtlusest saadud tulu maksustatakse ainult selles riigis. Kui füüsiline isik tegutseb teises lepinguosalises riigis asuvas kindlas kohas, võib selles teises riigis maksustada tulu, mis on omistatav sellele kindlale kohale. Lepinguosalise riigi residendist füüsilisel isikul on teises lepinguosalises riigis kindel koht ja selles teises riigis kutsetegevusest saadud tulu omistatakse kindlale kohale juhul, kui isik viibib selles riigis kokku üle 183 päeva majandusaastal algava või lõppeva kaheteistkümnekuulise perioodi jooksul.

2. Selles lepingus käsitatakse kutsetegevusena eraviisilist teadus- ja haridustööd, kirjandus- ja kunstialast tegevust ning arsti, juristi, inseneri, arhitekti, hambaarsti ja raamatupidaja erapraksist või muud seda laadi tegevust.

Artikkel 15. Palgatöö

1. Arvestades artikleid 16, 18 ja 19, maksustatakse lepinguosalise riigi residendi palk ja töösuhtest saadud muu tasu ainult selles riigis. Kui lepinguosalise riigi resident on töötanud ka teises lepinguosalises riigis, võib nimetatud tasu maksustada selles teises riigis.

2. Lõikest 1 olenemata maksustatakse lepinguosalise riigi residendi teises riigis töösuhtest saadud tasu ainult esimesena mainitud riigis, kui:
a) tasu saaja viibib teises lepinguosalises riigis kokku kuni 183 päeva majandusaastal algava või lõppeva kaheteistkümnekuulise perioodi vältel;
b) tasu maksab tööandja või tasu makstakse selle tööandja nimel, kes ei ole teise lepinguosalise riigi resident;
c) tööandja ei maksa tasu teises riigis asuva püsiva tegevuskoha või kindla koha kaudu.

3. Eelmiste lõigetega ei ole vastuolus maksustada lepinguosalises riigis selle riigi ettevõtja rahvusvahelises transpordis kasutatava mere-, õhu- või maanteesõidukil või siseveeteedel kasutataval laeval töötamise eest saadud tasu.

Artikkel 16. Juhatuse liikme töötasu

Juhatuse liikme töötasu ja muud seda laadi tasu, mida lepinguosalise riigi resident saab teise lepinguosalise riigi residendist äriühingu juhatuse või muu sellise organi liikmena, võib maksustada selles teises riigis.

Artikkel 17. Esineja ja sportlase tulu

1. Artiklitest 7, 14 ja 15 olenemata võib lepinguosalise riigi residendi tulu, mida ta otse või kaudselt saab teises lepinguosalises riigis meelelahutajana teatris, filmis, raadios, televisioonis või mujal esinemise eest või muusiku või sportlasena tegutsedes, maksustada selles teises riigis.

2. Artiklitega 7, 14 ja 15 ei ole vastuolus, kui meelelahutaja või sportlase teenitud tulu, mis laekub tema asemel mõnele teisele isikule, maksustatakse riigis, kus meelelahutaja või sportlane tegutseb.

3. Lõikeid 1 ja 2 ei kohaldata, kui meelelahutaja või sportlane saab tulu lepinguosalises riigis toimuvast tegevusest, mida täielikult või põhiliselt rahastatakse ühe või mõlema lepinguosalise riigi või selle kohaliku omavalitsuse üksuse vahenditest. Sel juhul maksustatakse tulu ainult meelelahutaja või sportlase residendiriigis.

Artikkel 18. Pension

1. Lepinguosalise riigi residendi pension ja varasema töötamise eest saadav muu seda laadi tasu maksustatakse ainult selles riigis, välja arvatud artikli 19 lõikes 2 nimetatud pension.

2. Lõikest 1 olenemata maksustatakse lepinguosalise riigi sotsiaalkindlustust käsitlevate õigusaktide alusel makstav pension ja muud summad ainult selles riigis.

3. Lõikest 1 olenemata maksustatakse lepinguosalises riigis teise lepinguosalise riigi residendile makstavad pensionid ning muud seda laadi hüvitised (sealhulgas ühekordsed summeeritud väljamaksed), eeldusel et sellised maksed tulenevad saaja poolt või tema nimel tehtud maksetest või osaluse omandamisest pensioniskeemis ning et need maksed, osaluse omandamine või pension või muud seda laadi hüvitised on maksustatavad esimesena nimetatud riigis selle maksuseaduste üldiste sätete alusel.

Artikkel 19. Riigiteenistus

1. a) Palk ja muu tasu, mida lepinguosaline riik või selle kohaliku omavalitsuse üksus maksab isikule riigi või omavalitsusüksuse asutuses töötamise eest, maksustatakse ainult selles riigis; sätet ei kohaldata pensionile.
b) Selline palk ja muu tasu maksustatakse ainult teises lepinguosalises riigis, kui isik on töötanud selles riigis ning ta on selle riigi resident:
(i) kes on selle riigi kodanik; või
(ii) kelle residentsus tuleneb ka muust asjaolust kui töötamine.

2. a) Pension, mida lepinguosaline riik või selle kohaliku omavalitsuse üksus maksab või mida nende loodud fondidest makstakse isikule töötamise eest selle riigi või omavalitsusüksuse asutuses, maksustatakse ainult selles riigis.
b) Selline pension maksustatakse ainult teises lepinguosalises riigis, kui pensioni saaja on teise riigi resident ja kodanik.

3. Lepinguosalise riigi või selle kohaliku omavalitsuse üksuse äritegevusega seotud töö eest saadud palga ja muu tasu ning pensioni kohta kehtivad artiklid 15, 16, 17 ja 18.

Artikkel 20. Üliõpilase tulu

Lepinguosaline ei maksusta tema riigis üksnes õpingutel või praktikal viibiva üliõpilase ülalpidamiseks, õpinguteks või praktikaks tehtavaid väljamakseid, kui üliõpilane on teise lepinguosalise riigi resident või oli seda vahetult enne õppima või praktikale asumist ja väljamakse tehakse väljaspool õppimiskoha riiki asuvast allikast.

Artikkel 21. Muu tulu

1. Lepinguosalise riigi residendi tulu, mida lepingu eelmistes artiklites ei ole käsitletud, maksustatakse olenemata tulu tekkimise kohast ainult selles riigis.

2. Lõige 1 ei kehti selle tulu kohta, mida lepinguosalise riigi resident saab teises lepinguosalises riigis püsiva tegevuskoha kaudu tegutsedes või selles teises riigis asuvas kindlas kohas toimuvast kutsetegevusest, kui õigused või vara, millest tulu on tekkinud, on seotud püsiva tegevuskohaga või kindla kohaga; sellistel juhtudel kohaldatakse artiklit 7 või 14. Lõige ei kehti artikli 6 lõikes 2 määratletud kinnisvarast saadud tulu kohta.

3. Lõigetest 1 ja 2 olenemata võib lepinguosalise riigi residendi eelnevates artiklites käsitlemata tulu, mis on tekkinud teises lepinguosalises riigis, maksustada selles teises riigis.

Artikkel 22. Kapital

1. Artiklis 6 määratletud kinnisvarast koosnevat vara, mis kuulub lepinguosalise riigi residendile ja asub teises lepinguosalises riigis, võib maksustada selles teises riigis.

2. Vallasvara, mis on osa lepinguosalise riigi residendi teises lepinguosalises riigis püsiva tegevuskoha äritegevuses kasutatavast varast või kindla koha kaudu toimuvas kutsetegevuses kasutatavast varast, võib maksustada selles teises riigis.

3. Lepinguosalise riigi ettevõtja laev või õhusõiduk ja selle juurde kuuluv vallasvara, mida lepinguosalise riigi ettevõtja kasutab rahvusvahelises transpordis, maksustatakse ainult selles riigis.

4. Lepinguosalise riigi residendi muu vara maksustatakse ainult selles riigis.

Artikkel 23. Topeltmaksustamise vältimine

1. Eesti residendi puhul välditakse topeltmaksustamist järgmiselt:
a) kui Eesti resident saab tulu või kui tal on vara, mida selle lepingu kohaselt võib maksustada Luksemburgis, ja Eesti seadused ei sisalda soodsamaid sätteid, lubab Eesti:
(i) residendi tulumaksust maha arvata summa, mis võrdub Luksemburgis tasutud tulumaksuga;
(ii) residendi kapitalimaksust maha arvata summa, mis võrdub Luksemburgis tasutud kapitalimaksuga.
Mahaarvatav summa ei ületa kummalgi juhul Eesti tulu- või kapitalimaksu seda osa, mis on arvutatud enne tasutud maksusumma mahaarvamist tulult või varalt, mida võib maksustada Luksemburgis;
b) Kui Eesti residendist äriühing saab punkti a kohaselt dividendi Luksemburgi residendist äriühingult, kelle hääleõiguslikest osadest või aktsiatest kuulub talle vähemalt 10 protsenti, siis ei hõlma Luksemburgis tasutud maks mitte ainult dividendilt võetavat maksu, vaid ka dividendi aluseks olevalt kasumiosalt võetavat maksu osa.

2. Vastavalt Luksemburgi seaduste topeltmaksustamise vältimise sätetele, mis ei mõjuta lepingu põhimõtet, välditakse topeltmaksustamist järgmiselt:
a) kui Luksemburgi resident saab tulu või omab vara, mida lepingu sätete kohaselt võib maksustada Eestis, siis vastavalt punktidele b ja c vabastab Luksemburg selle tulu või vara maksust, kuid võib selle oma residendi ülejäänud tulu- või kapitalimaksusumma arvutamisel arvesse võtta, kasutades samasid määrasid kui maksust vabastamata tulu või vara korral;
b) kui Luksemburgi resident saab tulu, mida artiklite 10, 11, 12, 17 või 21 kohaselt võib maksustada Eestis, siis lubab Luksemburg residendi tulumaksust maha arvata summa, mis võrdub Eestis tasutud maksuga. Mahaarvatav summa ei ületa maksu seda osa, mis on arvutatud enne tasutud maksusumma mahaarvamist tulult mida võib maksustada Eestis;
c) Punkti a ei kohaldata Luksemburgi residendi saadud tulule või varale, mille Eesti vastavalt lepingule maksust vabastab või millele ta kohaldab artiklite 10, 11 ja 12 lõiget 2.

Artikkel 24. Võrdne kohtlemine

1. Lepinguosaline riik maksustab teise lepinguosalise riigi kodanikku ja kohaldab talle maksustamisega kaasnevaid nõudeid samamoodi nagu oma kodanikule samadel asjaoludel. Seda lõiget kohaldatakse olenemata artiklist 1 ka isikule, kes ei ole kummagi lepinguosalise riigi resident.

2. Lepinguosalise riigi ettevõtja teises lepinguosalises riigis asuv püsiv tegevuskoht maksustatakse samadel alustel kui teise lepinguosalise riigi samal tegevusalal tegutsev ettevõtja. Seda lõiget ei tõlgendata kui lepinguosalise riigi kohustust võimaldada teise lepinguosalise riigi residendile tema perekonnaseisu või perekondlike kohustuste tõttu samasugust maksusoodustust, -vabastust või -vähendust, mida ta võimaldab oma residendile.

3. Lepinguosalise riigi ettevõtja võib maksustatavat kasumit arvestades sellest maha arvata teise lepinguosalise riigi ettevõtjale makstud intressi, litsentsitasu ja muu väljamakse samadel alustel nagu oma riigi residendi puhul; sätet ei kohaldata artikli 9 lõikes 1, artikli 11 lõikes 7 ega artikli 12 lõikes 6 nimetatud juhtudel. Lepinguosalise riigi ettevõtja võib oma maksustatavast varast maha arvata kohustused teise lepinguosalise riigi ettevõtja ees samadel tingimustel nagu kohustused oma riigi residendi ees.

4. Lepinguosalise riigi ettevõtjat, milles teise lepinguosalise riigi residendil on otsene või kaudne osalus, ei maksustata kõrgemalt ega esitata talle maksustamisega seotud lisanõudeid võrreldes sama riigi teise ettevõtjaga.

5. Seda artiklit kohaldatakse olenemata artiklist 2 kõigile maksudele.

Artikkel 25. Vastastikuse kokkuleppe menetlus

1. Kui isik arvab, et lepinguosalise riigi tegevus põhjustab või võib põhjustada tema sellist maksustamist, mis ei ole lepinguga kooskõlas, võib ta lepinguosaliste riikide seadustest sõltumata esitada kaebuse oma residendiriigi pädevale ametiisikule. Kui tema kaebuse suhtes tuleb kohaldada artikli 24 lõiget 1, esitab ta asja menetlemiseks selle lepinguosalise riigi pädevale ametiisikule, mille kodanik ta on. Kaebus esitatakse menetlemiseks kolme aasta jooksul alates päevast, millal saadi teada lepingut rikkuvat maksustamist põhjustavast tegevusest.

2. Kui kaebus on pädeva ametiisiku arvates õigustatud ja ta ei leia rahuldavat lahendust, püüab ametiisik kaebuse lahendada vastastikusel kokkuleppel teise lepinguosalise riigi pädeva ametiisikuga, järgides põhimõtet, et lepingut rikkuvat maksustamist tuleb vältida. Saavutatud kokkulepe täidetakse lepinguosaliste riikide seadustes ettenähtud ajapiirangut kohaldamata.

3. Lepinguosaliste riikide pädevad ametiisikud püüavad lepingu tõlgendamisel ja kohaldamisel tekkivad küsimused lahendada vastastikusel kokkuleppel. Topeltmaksustamise vältimiseks võivad nad teineteisega nõu pidada ka lepingus käsitlemata juhtudel.

4. Lepinguosaliste riikide pädevad ametiisikud võivad eelmistes lõigetes käsitletud kokkuleppele jõudmiseks suhelda teineteisega vahetult, sealhulgas pädevatest ametiisikutest või nende esindajatest moodustatud ühise komisjoni kaudu.

Artikkel 26. Teabevahetus

1. Lepinguosaliste riikide pädevad ametiisikud vahetavad lepingu järgimiseks ja lepinguosaliste riikide seaduste täitmiseks teavet lepinguosalises riigis kehtestatud maksude kohta tingimusel, et maksustamine ei ole lepinguga vastuolus. Artikkel 1 teabevahetust ei piira. Lepinguosaline riik käsitab teisest lepinguosalisest riigist saadud teavet saladusena samamoodi nagu oma seaduste alusel saadud teavet; teave antakse isikule ja ametivõimule (sealhulgas kohtud ja haldusasutused), kes esimeses lauses nimetatud makse määrab, kogub või sisse nõuab või maksudega seotud kaebusi lahendab. Teavet kasutatakse ainult eelloetletud eesmärkidel. Teavet võib avaldada avalikul kohtuistungil või kohtuotsuses.

2. Lõiget 1 ei tõlgendata lepinguosalise riigi kohustusena:
a) rakendada haldusabinõusid, mis on vastuolus lepinguosaliste riikide õigus- ja halduspraktikaga;
b) anda teavet, mis ei ole lepinguosaliste riikide seaduste alusel või tavapärases haldusmenetluses kättesaadav;
c) anda teavet, mis sisaldab äri- või kutsesaladust või tootmisprotsessi käsitlevaid salajasi andmeid, või teavet, mille avaldamine on vastuolus avalike huvidega (ordre public).

Artikkel 27. Diplomaatilise esinduse ja konsulaarasutuse töötaja

Lepingut ei kohaldata diplomaatilise esinduse ega konsulaarasutuse töötaja rahalistele soodustustele, mis on ette nähtud rahvusvahelise õiguse üldtunnustatud põhimõtete ja erikokkulepete alusel.

Artikkel 28. Teatud äriühingute väljaarvamine

Lepingut ei kohaldata Luksemburgi asjakohastes seadustes (31. juuli 1929 seadus ja suurhertsogi 17. detsembri 1938 määrus) või pärast lepingu allakirjutamist Luksemburgis või Eestis jõustuvas muus seda laadi seaduses nimetatud valdusühingutele ega ka äriühingutele, kelle suhtes kohaldatakse sarnaseid maksuseadusi Luksemburgis või Eestis. Samuti ei kohaldata lepingut sellisest valdusühingust tulu saavale Eesti residendile ega residendi omandis olevale osalusele või muule õigusele sellise ühingu kapitalis.

Artikkel 29. Lepingu jõustumine

1. Lepinguosaliste riikide valitsused edastavad diplomaatiliste kanalite kaudu teineteisele kirjaliku teate, mis käsitleb lepingu jõustumiseks vajalike põhiseaduslike nõuete täitmist.

2. Leping jõustub lõikes 1 nimetatud hilisema teate kättesaamise päeval ning seda kohaldatakse mõlemas lepinguosalises riigis:
a) maksule, mis peetakse kinni alates lepingu jõustumisele järgneva aasta 1. jaanuarist saadavalt tulult;
b) tulu- ja kapitalimaksule, mis makstakse lepingu jõustumisele järgneva aasta 1. jaanuaril või pärast seda algaval majandusaastal.

Artikkel 30. Lepingu lõpetamine

Leping kehtib, kuni lepinguosaline riik selle lõpetab. Lepinguosaline riik võib lepingu lõpetada, kui ta on sellest diplomaatiliste kanalite kaudu kirjalikult ette teatanud vähemalt kuus kuud enne kalendriaasta lõppu. Sel juhul lakkab leping mõlemas lepinguosalises riigis kehtimast lepingu lõpetamise teate edastamise aastale järgneva kalendriaasta 1. jaanuaril:
a) alates 1. jaanuarist saadud tulult kinnipeetava maksu kohta;
b) alates 1. jaanuarist saadud tulu- ja kapitalimaksu kohta.

Selle kinnituseks on volitatud isikud lepingule alla kirjutanud.

PROTOKOLL

Eesti Vabariigi valitsuse ja Luksemburgi Suurhertsogiriigi valitsuse vahelise tulu- ja kapitalimaksudega topeltmaksustamise vältimise ning maksudest hoidumise tõkestamise lepingu allakirjutamisel on pooled leppinud kokku järgmises lisas, mis moodustab lepingu lahutamatu osa.

Artikli 11 lisa

Kui Eesti ja kolmas riik, kes on selle lepingu allakirjutamise kuupäeval Majandusliku Koostöö ja Arengu Organisatsiooni liige, kirjutavad alla topeltmaksustamise vältimise lepingu või selle lepingu muudatuse, milles Eesti nõustub Eestis tekkinud intressid, välja arvatud lõikes 3 nimetatud intressid, maksust vabastama või vähendama lõikes 2 nimetatud maksumäära, siis kehtib selline vabastus või väiksem maksumäär automaatselt ka käesoleva lepingu lõigete 2 ja 3 alusel, alates kolmanda riigiga sõlmitud lepingu või selle muudatuse või käesoleva lepingu jõustumise kuupäevast, olenevalt sellest, milline on hilisem.

Artikli 12 lisa

Kui Eesti ja kolmas riik, kes on selle lepingu allakirjutamise kuupäeval Majandusliku Koostöö ja Arengu Organisatsiooni liige, kirjutavad alla topeltmaksustamise vältimise lepingu või selle lepingu muudatuse, milles Eesti nõustub litsentsitasude mõistest välja jätma mõne lõikes 3 nimetatud õigustest või varadest või vabastama Eestis tekkinud litsentsitasud Eesti maksust või vähendama lõikes 2 nimetatud maksumäära, siis kehtib selline kitsam mõiste, vabastus või väiksem maksumäär automaatselt ka käesoleva lepingu lõigete 2 ja 3 alusel, alates kolmanda riigiga sõlmitud lepingu või selle muudatuse või käesoleva lepingu jõustumise kuupäevast, olenevalt sellest, milline on hilisem.

Selle kinnituseks on volitatud isikud protokollile alla kirjutanud.

CONVENTION BETWEEN THE GOVERNMENT OF THE REPUBLIC OF ESTONIA AND THE GOVERNMENT OF THE GRAND DUCHY OF LUXEMBOURG FOR THE AVOIDANCE OF DOUBLE TAXATION AND THE PREVENTION OF FISCAL EVASION WITH RESPECT TO TAXES ON INCOME AND ON CAPITAL

The Government of the Republic of Estonia and the Government of the Grand Duchy of Luxembourg,

Desiring to conclude a Convention for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and on capital,

Have agreed as follows:

Article 1. Persons Covered

This Convention shall apply to persons who are residents of one or both of the Contracting States.

Article 2. Taxes Covered

1. This Convention shall apply to taxes on income and on capital imposed on behalf of a Contracting State or of its local authorities, irrespective of the manner in which they are levied.

2. There shall be regarded as taxes on income and on capital all taxes imposed on total income, on total capital, or on elements of income or of capital, including taxes on gains from the alienation of movable or immovable property, as well as taxes on capital appreciation.

3. The existing taxes to which the Convention shall apply are in particular:
a) in Estonia:
the income tax (tulumaks);
(hereinafter referred to as “Estonian tax”);
b) in Luxembourg
(i) the income tax on individuals (l’impôt sur le revenu des personnes physiques);
(ii) the corporation tax (l’impôt sur le revenu des collectivités);
(iii) the capital tax (l’impôt sur la fortune);
(iv) the communal trade tax (l’impôt commercial communal);
(hereinafter referred to as “Luxembourg tax”).

4. The Convention shall apply also to any identical or substantially similar taxes that are imposed after the date of signature of the Convention in addition to, or in place of, the existing taxes. The competent authorities of the Contracting States shall notify each other of any significant changes that have been made in their taxation laws.

Article 3. General Definitions

1. For the purposes of this Convention, unless the context otherwise requires:
a) the term “Estonia” means the Republic of Estonia and, when used in the geographical sense, means the territory of Estonia and any other area adjacent to the territorial waters of Estonia within which under the laws of Estonia and in accordance with international law, the rights of Estonia may be exercised with respect to the sea bed and its sub-soil and their natural resources;
b) the term “Luxembourg” means the Grand Duchy of Luxembourg and, when used in a geographical sense, means the territory of the Grand Duchy of Luxembourg;
c) the terms “a Contracting State” and “the other Contracting State” mean Estonia or Luxembourg, as the context requires;
d) the term “person” includes an individual, a company and any other body of persons;
e) the term “company” means any body corporate or any entity which is treated as a body corporate for tax purposes;
f) the terms “enterprise of a Contracting State” and “enterprise of the other Contracting State” mean respectively an enterprise carried on by a resident of a Contracting State and an enterprise carried on by a resident of the other Contracting State;
g) the term “international traffic” means any transport by a ship or aircraft operated by an enterprise of a Contracting State, except when the ship or aircraft is operated solely between places in the other Contracting State;
h) the term “competent authority” means:
(i) in Estonia, the Minister of Finance or his authorised representative;
(ii) in Luxembourg, the Minister of Finance or his authorised representative;
i) the term “national” means:
(i) any individual possessing the nationality of a Contracting State;
(ii) any legal person, partnership or association deriving its status as such from the laws in force in a Contracting State.

2. As regards the application of the Convention at any time by a Contracting State, any term not defined therein shall, unless the context otherwise requires, have the meaning that it has at that time under the law of that State for the purposes of the taxes to which the Convention applies, any meaning under the applicable tax laws of that State prevailing over a meaning given to the term under other laws of that State.

Article 4. Resident

1. For the purposes of this Convention, the term “resident of a Contracting State” means any person who, under the laws of that State, is liable to tax therein by reason of his domicile, residence, place of management, place of incorporation or any other criterion of a similar nature, and also includes that State and any local authority thereof. This term, however, does not include any person who is liable to tax in that State in respect only of income from sources in that State or capital situated therein.

2. Where by reason of the provisions of paragraph 1 an individual is a resident of both Contracting States, then his status shall be determined as follows:
a) he shall be deemed to be a resident only of the State in which he has a permanent home available to him; if he has a permanent home available to him in both States, he shall be deemed to be a resident only of the State with which his personal and economic relations are closer (centre of vital interests);
b) if the State in which he has his centre of vital interests cannot be determined, or if he has not a permanent home available to him in either State, he shall be deemed to be a resident only of the State in which he has an habitual abode;
c) if he has an habitual abode in both States or in neither of them, he shall be deemed to be a resident only of the State of which he is a national;
d) if he is a national of both States or of neither of them, the competent authorities of the Contracting States shall settle the question by mutual agreement.

3. Where by reason of the provisions of paragraph 1 a person other than an individual is a resident of both Contracting States, the competent authorities of the Contracting States shall endeavour to settle the question by mutual agreement.

Article 5. Permanent Establishment

1. For the purposes of this Convention, the term “permanent establishment” means a fixed place of business through which the business of an enterprise is wholly or partly carried on.

2. The term “permanent establishment” includes especially:
a) a place of management;
b) a branch;
c) an office;
d) a factory;
e) a workshop, and
f) a mine, an oil or gas well, a quarry or any other place of extraction of natural resources.

3. A building site, a construction, assembly or installation project or a supervisory activity connected therewith constitutes a permanent establishment only if such site, project or activity lasts for a period of more than nine months.

4. Notwithstanding the preceding provisions of this Article, the term “permanent establishment” shall be deemed not to include:
a) the use of facilities solely for the purpose of storage, display or delivery of goods or merchandise belonging to the enterprise;
b) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of storage, display or delivery;
c) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of processing by another enterprise;
d) the maintenance of a fixed place of business solely for the purpose of purchasing goods or merchandise or of collecting information, for the enterprise;
e) the maintenance of a fixed place of business solely for the purpose of carrying on, for the enterprise, any other activity of a preparatory or auxiliary character;
f) the maintenance of a fixed place of business solely for any combination of activities mentioned in sub-paragraphs a) to e), provided that the overall activity of the fixed place of business resulting from this combination is of a preparatory or auxiliary character.

5. Notwithstanding the provisions of paragraphs 1 and 2, where a person – other than an agent of an independent status to whom paragraph 6 applies – is acting on behalf of an enterprise and has, and habitually exercises, in a Contracting State an authority to conclude contracts in the name of the enterprise, that enterprise shall be deemed to have a permanent establishment in that State in respect of any activities which that person undertakes for the enterprise, unless the activities of such person are limited to those mentioned in paragraph 4 which, if exercised through a fixed place of business, would not make this fixed place of business a permanent establishment under the provisions of that paragraph.

6. An enterprise shall not be deemed to have a permanent establishment in a Contracting State merely because it carries on business in that State through a broker, general commission agent or any other agent of an independent status, provided that such persons are acting in the ordinary course of their business. However, when the activities of such an agent are devoted wholly or almost wholly on behalf of that enterprise, he will not be considered an agent of an independent status within the meaning of this paragraph.

7. The fact that a company which is a resident of a Contracting State controls or is controlled by a company which is a resident of the other Contracting State, or which carries on business in that other State (whether through a permanent establishment or otherwise), shall not of itself constitute either company a permanent establishment of the other.

Article 6. Income from Immovable Property

1. Income derived by a resident of a Contracting State from immovable property (including income from agriculture or forestry) situated in the other Contracting State may be taxed in that other State.

2. The term “immovable property” shall have the meaning which it has under the law of the Contracting State in which the property in question is situated. The term shall in any case include property accessory to immovable property, livestock and equipment used in agriculture and forestry, rights to which the provisions of general law respecting landed property apply, usufruct of immovable property and rights to variable or fixed payments as consideration for the working of, or the right to work, mineral deposits, sources and other natural resources; ships, boats and aircraft shall not be regarded as immovable property.

3. The provisions of paragraph 1 shall apply to income derived from the direct use, letting, or use in any other form of immovable property, as well as income from the alienation of immovable property.

4. The provisions of paragraphs 1 and 3 shall also apply to the income from immovable property of an enterprise and to income from immovable property used for the performance of independent personal services.

Article 7. Business Profits

1. The profits of an enterprise of a Contracting State shall be taxable only in that State unless the enterprise carries on business in the other Contracting State through a permanent establishment situated therein. If the enterprise carries on business as aforesaid, the profits of the enterprise may be taxed in the other State but only so much of them as is attributable to that permanent establishment.

2. Notwithstanding the provisions of paragraph 1, where an enterprise of a Contracting State which has a permanent establishment in the other Contracting State carries on in that other State business activities of the same or similar kind as those effected through that permanent establishment, then in order to prevent abuse, the profits of such activities may be attributable to the permanent establishment unless the enterprise shows that such activities could not have been reasonably undertaken by the permanent establishment.

3. Subject to the provisions of paragraph 4, where an enterprise of a Contracting State carries on business in the other Contracting State through a permanent establishment situated therein, there shall in each Contracting State be attributed to that permanent establishment the profits which it might be expected to make if it were a distinct and separate enterprise engaged in the same or similar activities under the same or similar conditions and dealing wholly independently with the enterprise of which it is a permanent establishment.

4. In determining the profits of a permanent establishment in a Contracting State, there shall be allowed as deductions expenses (other than expenses which would not be deductible if that permanent establishment were a separate enterprise of that Contracting State) which are incurred for the purposes of the permanent establishment, including executive and general administrative expenses so incurred, whether in the State in which the permanent establishment is situated or elsewhere.

5. Insofar as it has been customary in a Contracting State to determine the profits to be attributed to a permanent establishment on the basis of an apportionment of the total profits of the enterprise to its various parts, nothing in paragraph 3 shall preclude that Contracting State from determining the profits to be taxed by such an apportionment as may be customary; the method of apportionment adopted shall, however, be such that the result shall be in accordance with the principles contained in this Article.

6. No profits shall be attributed to a permanent establishment by reason of the mere purchase by that permanent establishment of goods or merchandise for the enterprise.

7. For the purposes of the preceding paragraphs, the profits to be attributed to the permanent establishment shall be determined by the same method year by year unless there is good and sufficient reason to the contrary.

8. Where profits include items of income which are dealt with separately in other Articles of this Convention, then the provisions of those Articles shall not be affected by the provisions of this Article.

Article 8. Shipping and Air Transport

1. Profits of an enterprise of a Contracting State from the operation of ships or aircraft in international traffic shall be taxable only in that State.

2. The provisions of paragraph 1 shall also apply to profits from the participation in a pool, a joint business or an international operating agency.

Article 9. Associated Enterprises

1. Where
a) an enterprise of a Contracting State participates directly or indirectly in the management, control or capital of an enterprise of the other Contracting State, or
b) the same persons participate directly or indirectly in the management, control or capital of an enterprise of a Contracting State and an enterprise of the other Contracting State,

and in either case conditions are made or imposed between the two enterprises in their commercial or financial relations which differ from those which would be made between independent enterprises, then any profits which would, but for those conditions, have accrued to one of the enterprises, but, by reason of those conditions, have not so accrued, may be included in the profits of that enterprise and taxed accordingly.

2. Where a Contracting State includes in the profits of an enterprise of that State – and taxes accordingly – profits on which an enterprise of the other Contracting State has been charged to tax in that other State and the profits so included are profits which would have accrued to the enterprise of the first-mentioned State if the conditions made between the two enterprises had been those which would have been made between independent enterprises, then that other State shall make an appropriate adjustment to the amount of the tax charged therein on those profits. In determining such adjustment, due regard shall be had to the other provisions of this Convention and the competent authorities of the Contracting States shall if necessary consult each other.

Article 10. Dividends

1. Dividends paid by a company which is a resident of a Contracting State to a resident of the other Contracting State may be taxed in that other State.

2. However, such dividends may also be taxed in the Contracting State of which the company paying the dividends is a resident and according to the laws of that State, but if the beneficial owner of the dividends is a resident of the other Contracting State, the tax so charged shall not exceed:
a) 5 per cent of the gross amount of the dividends if the beneficial owner is a company (other than a partnership) which holds directly at least 25 per cent of the capital of the company paying the dividends;
b) 15 per cent of the gross amount of the dividends in all other cases.

This paragraph shall not affect the taxation of the company in respect of the profits out of which the dividends are paid.

3. The term “dividends” as used in this Article means income from shares or other rights, not being debt-claims, participating in profits, as well as income from other rights which is subjected to the same taxation treatment as income from shares by the laws of the State of which the company making the distribution is a resident, and the investor’s share of the profit of an enterprise, paid proportionally to his capital investment, as well as interest and payments on bonds where, in addition to the fixed rate of interest, a supplementary interest, varying according to the distributed profits, is granted.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the dividends, being a resident of a Contracting State, carries on business in the other Contracting State of which the company paying the dividends is a resident, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the holding in respect of which the dividends are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

5. Where a company which is a resident of a Contracting State derives profits or income from the other Contracting State, that other State may not impose any tax on the dividends paid by the company, except insofar as such dividends are paid to a resident of that other State or insofar as the holding in respect of which the dividends are paid is effectively connected with a permanent establishment or a fixed base situated in that other State, nor subject the company’s undistributed profits to a tax on the company’s undistributed profits, even if the dividends paid or the undistributed profits consist wholly or partly of profits or income arising in such other State.

Article 11. Interest

1. Interest arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such interest may also be taxed in the Contracting State in which it arises and according to the laws of that State, but if the beneficial owner of the interest is a resident of the other Contracting State, the tax so charged shall not exceed 10 per cent of the gross amount of the interest.

3. Notwithstanding the provisions of paragraph 2:
a) interest arising in a Contracting State, derived and beneficially owned by the Government of the other Contracting State, a local authority, the Central Bank or any financial institution wholly owned by that Government as it has been agreed by the competent authorities, or interest paid in respect of a loan guaranteed by that Government or authority, shall be exempt from tax in the first-mentioned State;
b) interest arising in a Contracting State shall be exempt from tax in that State if the beneficial owner of the interest is an enterprise of the other Contracting State, and the interest is paid with respect to an indebtedness arising as a consequence of the sale on credit by an enterprise of that other State of any merchandise or industrial, commercial or scientific equipment to an enterprise of the first-mentioned State, except where the sale or indebtedness is between related persons;
c) interest arising in a Contracting State on a loan of whatever kind granted to an enterprise of that State by a bank of the other Contracting State shall be taxable only in that other State.

4. The term “interest” as used in this Article means income from debt-claims of every kind, whether or not secured by mortgage and whether or not carrying a right to participate in the debtor’s profits, and in particular, income from government securities and income from bonds or debentures, including premiums and prizes attaching to such securities, bonds or debentures. However the term “interest” shall not include income referred to Article 10. Penalty charges for late payment shall not be regarded as interest for the purpose of this Article.

5. The provisions of paragraphs 1, 2 and 3 shall not apply if the beneficial owner of the interest, being a resident of a Contracting State, carries on business in the other Contracting State in which the interest arises, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the debt-claim in respect of which the interest is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

6. Interest shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying the interest, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment or fixed base, then such interest shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

7. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the interest, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Convention.

Article 12. Royalties

1. Royalties arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such royalties may also be taxed in the Contracting State in which they arise and according to the laws of that State, but if the beneficial owner of the royalties is a resident of the other Contracting State, the tax so charged shall not exceed:
a) 5 per cent of the gross amount of the royalties paid for the use of industrial, commercial or scientific equipment;
b) 10 per cent of the gross amount of the royalties in all other cases.

3. The term “royalties” as used in this Article means payments of any kind received as a consideration for the use of, or the right to use, any copyright of literary, artistic or scientific work including cinematograph films and films or tapes and other means of image or sound reproduction for radio or television broad-casting, any patent, trade mark, design or model, plan, secret formula or process, or for the use of, or the right to use, industrial, commercial or scientific equipment, or for information concerning industrial, commercial or scientific experience.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the royalties, being a resident of a Contracting State, carries on business in the other Contracting State in which the royalties arise, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the royalties are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

5. Royalties shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying the royalties, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the liability to pay the royalties was incurred, and such royalties are borne by such permanent establishment or fixed base, then such royalties shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

6. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the royalties, having regard to the use, right or information for which they are paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Convention.

Article 13. Capital Gains

1. Gains derived by a resident of a Contracting State from the alienation of immovable property referred to in Article 6 and situated in the other Contracting State or shares in a company the assets of which consist mainly of such property may be taxed in that other State.

2. Gains from the alienation of movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or of movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, including such gains from the alienation of such a permanent establishment (alone or with the whole enterprise) or of such fixed base, may be taxed in that other State.

3. Gains derived by an enterprise of a Contracting State operating ships or aircraft in international traffic from the alienation of ships or aircraft operated in international traffic or movable property pertaining to the operation of such ships or aircraft, shall be taxable only in that State

4. Gains from the alienation of any property other than that referred to in paragraphs 1, 2 and 3, shall be taxable only in the Contracting State of which the alienator is a resident.

Article 14. Independent Personal Services

1. Income derived by an individual who is a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other State but only so much of it as is attributable to that fixed base. For this purpose, where an individual who is a resident of a Contracting State stays in the other Contracting State for a period or periods exceeding in the aggregate 183 days in any twelve month period commencing or ending in the fiscal year concerned, he shall be deemed to have a fixed base regularly available to him in that other State and the income that is derived from his activities referred to above that are performed in that other State shall be attributable to that fixed base.

2. The term “professional services” includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.

Article 15. Dependent Personal Services

1. Subject to the provisions of Articles 16, 18 and 19, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment shall be taxable only in that State unless the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other State.

2. Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of an employment exercised in the other Contracting State shall be taxable only in the first-mentioned State if:
a) the recipient is present in the other State for a period or periods not exceeding in the aggregate 183 days in any twelve month period commencing or ending in the calendar year concerned, and
b) the remuneration is paid by, or on behalf of, an employer who is not a resident of the other State, and
c) the remuneration is not borne by a permanent establishment or a fixed base which the employer has in the other State.

3. Notwithstanding the preceding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship, aircraft or road vehicle operated in international traffic or aboard a boat engaged in inland waterways transport, by an enterprise of a Contracting State may be taxed in that State.

Article 16. Directors’ Fees

Directors’ fees and other similar payments derived by a resident of a Contracting State in his capacity as a member of the board of directors or any other similar organ of a company which is a resident of the other Contracting State may be taxed in that other State.

Article 17. Artistes and Sportsmen

1. Notwithstanding the provisions of Articles 7, 14 and 15, income derived by a resident of a Contracting State as an entertainer, such as a theatre, motion picture, radio or television artiste, or a musician, or as a sportsman, from his personal activities as such exercised in the other Contracting State, may be taxed in that other State.

2. Where income in respect of personal activities exercised by an entertainer or a sportsman in his capacity as such accrues not to the entertainer or sportsman himself but to another person, that income may, notwithstanding the provisions of Articles 7, 14 and 15, be taxed in the Contracting State in which the activities of the entertainer or sportsman are exercised.

3. The provisions of paragraphs 1 and 2 shall not apply to income derived from activities exercised in a Contracting State by an entertainer or a sportsman if the visit to that State is wholly or mainly supported by public funds of one or both of the Contracting States or local authorities thereof. In such case, the income shall be taxable only in the Contracting State of which the entertainer or sportsman is a resident.

Article 18. Pensions

1. Subject to the provisions of paragraph 2 of Article 19, pensions and other similar remuneration paid to a resident of a Contracting State in consideration of past employment shall be taxable only in that State.

2. Notwithstanding the provisions of paragraph 1, pensions and other payments made under the social security legislation of a Contracting State shall be taxable only in that State.

3. Notwithstanding the provisions of paragraph 1, pensions and other similar remuneration (including lump-sum payments) arising in a Contracting State and paid to a resident of the other Contracting State shall be taxable only in the first-mentioned State, provided that such payments derive from contributions paid to or from provisions made under a pension scheme by the recipient or on his behalf and that these contributions, provisions or the pensions or other similar remuneration have been subjected to tax in the first-mentioned State under the ordinary rules of its tax laws.

Article 19. Government Service

1. a) Salaries, wages and other similar remuneration, other than a pension, paid by a Contracting State or a local authority thereof to an individual in respect of services rendered to that State or authority shall be taxable only in that State.
b) However, such salaries, wages and other similar remuneration shall be taxable only in the other Contracting State if the services are rendered in that State and the individual is a resident of that State who:
(i) is a national of that State; or
(ii) did not become a resident of that State solely for the purpose of rendering the services.

2. a) Any pension paid by, or out of funds created by, a Contracting State or a local authority thereof to an individual in respect of services rendered to that State or authority shall be taxable only in that State.
b) However, such pension shall be taxable only in the other Contracting State if the individual is a resident of, and a national of, that State.

3. The provisions of Articles 15, 16, 17, and 18 shall apply to salaries, wages and other similar remuneration, and to pensions, in respect of services rendered in connection with a business carried on by a Contracting State or a local authority thereof.

Article 20. Students

Payments which a student an apprentice or a trainee who is or was immediately before visiting a Contracting State a resident of the other Contracting State and who is present in the first-mentioned State solely for the purpose of his education or training receives for the purpose of his maintenance, education or training shall not be taxed in that State, provided that such payments arise from sources outside that State.

Article 21. Other Income

1. Items of income of a resident of a Contracting State, wherever arising, not dealt with in the foregoing Articles of this Convention shall be taxable only in that State.

2. The provisions of paragraph 1 shall not apply to income, other than income from immovable property as defined in paragraph 2 of Article 6, if the recipient of such income, being a resident of a Contracting State, carries on business in the other Contracting State through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the income is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

3. Notwithstanding the provisions of paragraphs 1 and 2, items of income of a resident of a Contracting State not dealt with in the foregoing Articles of this Convention and arising in the other Contracting State may also be taxed in that other State.

Article 22. Capital

1. Capital represented by immovable property referred to in Article 6, owned by a resident of a Contracting State and situated in the other Contracting State, may be taxed in that other State.

2. Capital represented by movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or by movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, may be taxed in that other State.

3. Capital represented by ships and aircraft operated in international traffic by an enterprise of a Contracting State and by movable property pertaining to the operation of such ships and aircraft, shall be taxable only in that State.

4. All other elements of capital of a resident of a Contracting State shall be taxable only in that State.

Article 23. Elimination of Double Taxation

1. In the case of a resident of Estonia, double taxation shall be avoided as follows:
a) Where a resident of Estonia derives income or owns capital which, in accordance with this Convention, may be taxed in Luxembourg, unless a more favourable treatment is provided in its domestic law, Estonia shall allow:
(i) as a deduction from the tax on the income of that resident, an amount equal to the income tax paid thereon in Luxembourg;
(ii) as a deduction from the tax on the capital of that resident, an amount equal to the capital tax paid thereon in Luxembourg.
Such deduction in either case shall not, however, exceed that part of the income tax or capital tax in Estonia, as computed before the deduction is given, which is attributable, as the case may be, to the income or the capital which may be taxed in Luxembourg.
b) For the purposes of sub-paragraph a), where a company that is a resident of Estonia receives a dividend from a company that is a resident of Luxembourg in which it owns at least 10 per cent of its shares having full voting rights, the tax paid in Luxembourg shall include not only the tax paid on the dividend, but also the tax paid on the underlying profits of the company out of which the dividend was paid.

2. Subject to the provisions of the law of Luxembourg regarding the elimination of double taxation which shall not affect the general principle hereof, double taxation shall be eliminated as follows:
a) Where a resident of Luxembourg derives income or owns capital which, in accordance with the provisions of this Convention, may be taxed in Estonia, Luxembourg shall, subject to provisions of sub-paragraphs b) and c), exempt such income or capital from tax, but may, in order to calculate the amount of tax on the remaining income or capital of the resident, apply the same rates of tax as if the income or capital had not been exempted.
b) Where a resident of Luxembourg derives income which, in accordance with the provisions of Articles 10, 11, 12, 17 and 21 may be taxed in Estonia, Luxembourg shall allow as a deduction from the tax on the income of that resident an amount equal to the tax paid in Estonia. Such deduction shall not, however, exceed that part of the tax, as computed before the deduction is given, which is attributable to such items of income derived from Estonia.
c) The provisions of sub-paragraph a) shall not apply to income derived or capital owned by a resident of Luxembourg where Estonia applies the provisions of this Convention to exempt such income or capital from tax or applies the provisions of paragraph 2 of Articles 10, 11 or 12 to such income.

Article 24. Non-discrimination

1. Nationals of a Contracting State shall not be subjected in the other Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of that other State in the same circumstances, in particular with respect to residence, are or may be subjected. This provision shall, notwithstanding the provisions of Article 1, also apply to persons who are not residents of one or both of the Contracting States.

2. The taxation on a permanent establishment which an enterprise of a Contracting State has in the other Contracting State shall not be less favourably levied in that other State than the taxation levied on enterprises of that other State carrying on the same activities. This provision shall not be construed as obliging a Contracting State to grant to residents of the other Contracting State any personal allowances, reliefs and reductions for taxation purposes on account of civil status or family responsibilities which it grants to its own residents.

3. Except where the provisions of paragraph 1 of Article 9, paragraph 7 of Article 11, or paragraph 6 of Article 12, apply, interest, royalties and other disbursements paid by an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable profits of such enterprise, be deductible under the same conditions as if they had been paid to a resident of the first-mentioned State. Similarly, any debts of an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable capital of such enterprise, be deductible under the same conditions as if they had been contracted to a resident of the first-mentioned State.

4. Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of the first-mentioned State are or may be subjected.

5. The provisions of this Article shall, notwithstanding the provisions of Article 2, apply to taxes of every kind and description.

Article 25. Mutual Agreement Procedure

1. Where a person considers that the actions of one or both of the Contracting States result or will result for him in taxation not in accordance with the provisions of this Convention, he may, irrespective of the remedies provided by the domestic law of those States, present his case to the competent authority of the Contracting State of which he is a resident or, if his case comes under paragraph 1 of Article 24, to that of the Contracting State of which he is a national. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the provisions of the Convention.

2. The competent authority shall endeavour, if the objection appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the case by mutual agreement with the competent authority of the other Contracting State, with a view to the avoidance of taxation which is not in accordance with the Convention. Any agreement reached shall be implemented notwithstanding any time limits in the domestic law of the Contracting States.

3. The competent authorities of the Contracting States shall endeavour to resolve by mutual agreement any difficulties or doubts arising as to the interpretation or application of the Convention. They may also consult together for the elimination of double taxation in cases not provided for in the Convention.

4. The competent authorities of the Contracting States may communicate with each other directly, including through a joint commission consisting of themselves or their representatives, for the purpose of reaching an agreement in the sense of the preceding paragraphs.

Article 26. Exchange of Information

1. The competent authorities of the Contracting States shall exchange such information as is necessary for carrying out the provisions of this Convention or of the domestic laws of the Contracting States concerning taxes covered by the Convention insofar as the taxation thereunder is not contrary to the Convention. The exchange of information is not restricted by Article 1. Any information received by a Contracting State shall be treated as secret in the same manner as information obtained under the domestic laws of that State and shall be disclosed only to persons or authorities (including courts and administrative bodies) concerned with the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to, the taxes covered by the Convention. Such persons or authorities shall use the information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions.

2. In no case shall the provisions of paragraph 1 be construed so as to impose on a Contracting State the obligation:
a) to carry out administrative measures at variance with the laws and administrative practice of that or of the other Contracting State;
b) to supply information which is not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State;
c) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information, the disclosure of which would be contrary to public policy (ordre public).

Article 27. Members of Diplomatic Missions and Consular Posts

Nothing in this Convention shall affect the fiscal privileges of members of diplomatic missions or consular posts under the general rules of international law or under the provisions of special agreements.

Article 28. Exclusion of Certain Companies

The Convention shall not apply to holding companies within the meaning of special Luxembourg laws (currently the Act of July 31, 1929 and the Grand-Ducal Decree of December 17, 1938) or any other similar law enacted in Luxembourg or Estonia after the signature of the Convention, nor to companies subjected to similar fiscal laws in Luxembourg or Estonia. It shall not apply either to income derived by a resident of Estonia from such holding companies nor to shares or other rights in the capital of such companies owned by such person.

Article 29. Entry into Force

1. The Governments of the Contracting States shall notify each other in writing, through diplomatic channels, when the constitutional requirements for the entry into force of this Convention have been complied with.

2. The Convention shall enter into force on the date of the later of the notifications referred to in paragraph 1 and its provisions shall have effect in both Contracting States:
a) in respect of taxes withheld at source, on income derived on or after the first day of January in the calendar year next following the year in which the Convention enters into force;
b) in respect of other taxes on income and taxes on capital, for taxes chargeable for any fiscal year beginning on or after the first day of January in the calendar year next following the year in which the Convention enters into force.

Article 30. Termination

This Convention shall remain in force until terminated by a Contracting State. Either Contracting State may terminate the Convention, through diplomatic channels, by giving written notice of termination at least six months before the end of any calendar year. In such event, the Convention shall cease to have effect in both Contracting States:
a) in respect of taxes withheld at source, on income derived on or after the first day of January in the calendar year next following the year in which the notice has been given;
b) in respect of other taxes on income and taxes on capital, for taxes chargeable for any fiscal year beginning on or after the first day of January in the calendar year next following the year in which the notice has been given.

PROTOCOL

At the moment of signing the Convention for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and on capital, this day concluded between the Government of the Republic of Estonia and the Government of the Grand Duchy of Luxembourg, the undersigned have agreed that the following provisions shall form an integral part of the Convention.

With reference to Article 11

If in any Convention for the avoidance of double taxation, or any Amendment to such Convention, signed after the date of signature of this Convention by Estonia and a third State, which is a member of the Organisation for Economic Co-operation and Development, at the date of signature of this Convention, Estonia agrees to exempt interest arising in Estonia, other than interest mentioned in paragraph 3, or to lower the rate of tax on interest than that provided for in paragraph 2, then such exemption or lower rate shall automatically apply under this Convention as if they were specified respectively in paragraph 3 or paragraph 2 with effect from the date on which the provisions of that Convention or any Amendment to that Convention, or of this Convention, whichever is the later, become effective.

With reference to Article 12

If in any Convention for the avoidance of double taxation, or any Amendment to such Convention, signed after the date of signature of this Convention by Estonia and a third State, which is a member of the Organisation for Economic Co-operation and Development, at the date of signature of this Convention, Estonia agrees to a definition of royalties which excludes any rights or other property referred to in paragraph 3 or to exempt royalties arising in Estonia from Estonian tax on royalties or to lower the rates of tax than those provided for in paragraph 2, such definition, exemption or lower rates shall automatically apply under this Convention as if they were specified respectively in paragraph 3 or paragraph 2 with effect from the date on which the provisions of that Convention or any Amendment to that Convention, or of this Convention, whichever is the later, become effective.
